Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (individually, or on behalf of an entity, "you") and Insightlo ("Company," "we," "us," or "our"), governing your access to and use of the Insightlo customer intelligence and retention platform and all associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Insightlo provides a customer intelligence and retention analytics platform that helps businesses detect churn risks, track customer satisfaction, analyze engagement signals, and optimize customer success operations. The Service integrates with your existing CRM, support, and analytics tools to deliver predictive insights and intelligence. Features available depend on your subscription plan.

3. Account Registration and Security

To access the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized account access at security@insightlo.io
• Accept responsibility for all activities under your account
• Be at least 18 years of age or have appropriate legal capacity

4. Customer Data and Intellectual Property

Your Customer Data:You retain full ownership of all customer data, integration data, and other content you submit to the Service ("Customer Data"). By connecting your data sources, you grant Insightlo a limited, non-exclusive license to process your Customer Data solely to provide the Service. You represent that you have all necessary rights to submit this data and that your submission complies with applicable data protection laws.

Our Platform: Insightlo and its licensors retain all rights, title, and interest in the platform, including all software, predictive models, algorithms, visual designs, and documentation. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period for internal business purposes only.

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Reverse engineer, decompile, or attempt to extract our predictive models or source code
• Use the Service to develop competing products
• Upload or transmit malicious code, viruses, or harmful content
• Attempt unauthorized access to any part of the Service
• Connect or submit customer data without having appropriate legal rights and consent
• Use insights generated by the Service for discriminatory or illegal purposes
• Resell or sublicense access without prior written consent

6. Subscription and Payment

Access to Insightlo requires a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the selected frequency. All fees are in USD and exclusive of applicable taxes. We reserve the right to modify pricing with 30 days advance notice. Failure to pay may result in suspension or termination of access.

7. Data Security and Compliance

Insightlo implements enterprise-grade security measures including AES-256 encryption at rest, TLS 1.3 in transit, role-based access controls, SOC 2 Type II certified infrastructure, and complete tenant data isolation. We process data in compliance with GDPR, CCPA, and other applicable data protection regulations.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it except as required to fulfill obligations under these Terms or as required by law. Insightlo treats all Customer Data as confidential and implements appropriate measures to protect it.

9. Service Level Agreement

Insightlo targets 99.9% monthly uptime for the platform, excluding scheduled maintenance. Service credits for SLA violations are as described in our Refund Policy. Enterprise customers receive contractual SLA guarantees per their agreements.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. INSIGHTLO DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INSIGHTLO DOES NOT WARRANT THAT PREDICTIVE ANALYTICS WILL BE ACCURATE IN ALL CIRCUMSTANCES OR THAT THE SERVICE WILL BE UNINTERRUPTED. YOU BEAR SOLE RESPONSIBILITY FOR DECISIONS BASED ON SERVICE OUTPUTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSIGHTLO'S TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. INSIGHTLO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, CUSTOMER REVENUE, OR DATA.

12. Indemnification

You agree to indemnify and hold harmless Insightlo and its affiliates from any claims, liabilities, and expenses arising from your use of the Service in violation of these Terms, applicable law, or third-party rights, including data protection laws.

13. Termination

Either party may terminate the subscription at the end of the current billing period. Insightlo may immediately suspend or terminate your account for material breach. Upon termination, you may export your data within 30 days before deletion.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Disputes shall be resolved through binding arbitration except where injunctive relief is sought.

15. Changes to Terms

We may update these Terms with 30 days notice for material changes. Continued use of the Service after the effective date constitutes acceptance.
